Article 1 β Platform Nature & Scope
PawXchange is a community platform connecting pet owners for the exchange of pet care services. PawXchange LLC is a limited liability company incorporated under the laws of the State of Delaware, with operations conducted in the State of Texas.
PawXchange acts exclusively as a technical intermediary. It is not a pet care company, does not provide pet care services, does not employ or engage sitters, and is not a party to any service agreement concluded between members. PawXchange benefits from the protections of Section 230 of the Communications Decency Act (47 U.S.C. Β§230).
At launch, the platform operates in all US states except New York, which is excluded pending confirmation of BitLicense exemption for customer affinity programs under 23 NYCRR Β§200.
Article 2 β Acceptance of Terms
Registration constitutes full and unconditional acceptance of these Terms. Electronic acceptance is legally binding under the E-SIGN Act (15 U.S.C. Β§7001) and the Texas UETA (Tex. Bus. & Com. Code Β§322). PawXchange reserves the right to update these Terms with a minimum of 30 days' notice. Continued use after such notice constitutes acceptance.
Article 3 β Membership
Two membership tiers are offered: Founding Member (free, limited to the first 50 members) and Standard Member (USD $129/year, auto-renewing). Members must complete Stripe Identity verification, provide proof of residence, and confirm 3 personal references before gaining full platform access.
3.1 β Automatic Renewal Disclosure
(a) Recurring charge: USD $129/year (Standard Membership) or USD $49/year (Premium Pack).
(b) Automatic renewal for successive one-year terms unless you cancel before the end of the current term.
(c) Term: twelve (12) months from enrollment or most recent renewal.
(d) Cancellation: online at any time via the mechanism in Section 3.2, without calling customer service or mailing a letter.
(e) Price changes: 30 days' email notice before taking effect at next renewal.
3.2 β Easy Online Cancellation
You may cancel any subscription at any time by selecting "Cancel Subscription" in your account settings within the app, or by emailing tiffany@pawxchange.com from the email address associated with your account. No phone call, written letter, or retention offer required. You will receive electronic acknowledgment within one (1) business day and retain access through the end of the paid term.
3.3 β Post-Enrollment Confirmation
After enrollment and after each renewal, PawXchange will send an electronic acknowledgment describing the auto-renewal terms, the cancellation method, and a direct link to cancel.
Article 4 β The Treats System
4.1 β Nature of Treats
Treats are a closed-loop points system internal to the PawXchange platform. Treats are earned exclusively by providing pet care services to other members and are spent exclusively to receive pet care services from other members.
4.2 β Earning & Spending
- Treats are credited upon completion and mutual confirmation of a service provided
- Treats are debited upon confirmation of a service received
- A welcome bonus of 50 Treats is credited to new members upon signup
- Treats balances are non-transferable and expire upon account termination
4.3 β Subscription Boost (Premium Pack)
When a member has insufficient Treats to confirm a booking, they may elect to upgrade to the Premium Pack add-on at USD $49/year. The Premium Pack includes a monthly allowance of 30 bonus Treats that expire at the end of each monthly billing cycle. The Premium Pack is a subscription for platform benefits β not a purchase of Treats. No dollar-to-Treat conversion rate is displayed or applied. Unused bonus Treats are forfeited at month end without refund or carryover.
4.4 β Platform Discretion
PawXchange may modify the Treats system, adjust balances to correct errors, suspend accumulation for abuse or fraud, or discontinue the system with 30 days' notice. Treats in suspended or terminated accounts are forfeited without compensation.
Article 5 β Services
Five categories of pet care services may be exchanged: (a) boarding, (b) dog walking with real-time GPS tracking, (c) drop-in visit, (d) home care, and (e) direct swap between members. For services exceeding seven (7) consecutive days, a check-in photo is required every 7 days. GPS data is retained for 30 days then automatically deleted.
5.1 β Owner Disclosure of Bite and Aggression History
Prior to confirming any booking, the owner must disclose any known history of biting, aggression, resource guarding, or other conduct that poses a risk of injury. Failure to disclose a known bite or aggression history constitutes a material breach of these Terms and may result in account suspension or termination.
5.2 β Sitter Escalation on Owner No-Show
If the owner fails to retrieve the animal at the scheduled end of a booking, the caretaker shall attempt to contact the owner and their emergency contact, follow the in-app escalation workflow, and, if contact cannot be established within the applicable window, contact local animal control. All reasonable costs incurred by the caretaker under this section shall be borne by the owner.
5.3 β No Sale, Transfer, or Commercial Breeding
The platform is provided solely to facilitate non-commercial, peer-to-peer caretaking between individual pet owners. The platform may not be used to facilitate sale, ownership transfer, commercial breeding, or operation of a rescue or shelter. PawXchange is not an animal dealer, broker, or rescue organization.
Article 5A β Owner & Caretaker Obligations; Animal Welfare
5A.1 β Owner Obligations; Abandonment
Owners acknowledge that abandonment of an animal is a crime. By confirming a booking, the owner pre-authorizes the following escalation if the animal is not retrieved at the scheduled end time: caretaker notices at 2, 6, 12, and 24 hours past the booked end; and at 48 hours past the booked end, the caretaker may surrender the animal to Austin Animal Services or an emergency boarding provider, with all extended-boarding, veterinary, transport, and administrative costs, plus reasonable attorneys' fees, borne by the owner.
5A.2 β Caretaker Custody
Caretakers expressly acknowledge that during the care period they are the "owner" and "custodian" of the animal and accept the attendant duties of care, including the duty to provide necessary food, water, care, and shelter and to avoid cruel treatment.
5A.3 β Chapter 824 Informed-Consent Booking Workflow
When a caretaker accepts a fourth concurrent booking (or discloses more than 3 animals at any overlapping period), the platform will gate the booking behind a written disclosure collecting: (i) expected hours per day the animals will be unattended, and (ii) whether the location has a functioning fire-suppression sprinkler system. This disclosure is presented to each affected owner prior to booking confirmation.
5A.4 β Safe Outdoor Dogs Act & Austin Tethering
Caretakers agree to comply with Tex. Health & Safety Code Β§Β§821.076 et seq. and the City of Austin's ordinance prohibiting unattended tethering of dogs.
5A.5 β Rabies Vaccination
Owners must upload current proof of rabies vaccination for each animal before any booking may be confirmed.
5A.6 β No PawXchange Custody
PawXchange does not operate a kennel, does not board, house, or take custody of any animal, and maintains no physical facility for animal care. No employment, agency, partnership, or bailment relationship is created between PawXchange and any member.
5A.7 β Cruelty Reporting
PawXchange reserves the right to report suspected animal cruelty, abandonment, or neglect to Austin 3-1-1, the Travis County Sheriff's Office, Austin Animal Services, or any appropriate authority, and to cooperate with resulting investigations.
Article 5B β Veterinary Practice Compliance; Medication; Emergencies
5B.1 β Designated Caretaker
By confirming a booking, the owner formally designates the caretaker as a "designated caretaker" within the meaning of Tex. Occ. Code Β§801.004(1) for the limited purpose of administering medications expressly identified in the Pet Care Profile.
5B.2 β Prohibition on Unlicensed Veterinary Practice
Caretakers are prohibited from diagnosing illness, administering vaccines (other than owner-supplied preventives per written instructions), performing tissue-invasive procedures, or holding themselves out as qualified to provide veterinary care.
5B.3 β Medication Policy
Caretakers may administer only owner-supplied medications, prescribed to the specific animal and accompanied by written in-app instructions. Each administration must be logged in-app with a timestamp.
5B.4 β Emergency Protocols
Owners pre-designate a primary and emergency veterinarian in the Pet Care Profile and pre-authorize emergency treatment up to a specified dollar cap. In a medical emergency, caretakers shall: (i) contact the owner, (ii) contact the designated veterinarian, and (iii) transport the animal for emergency care, documenting each step in-app.
Article 6 β Security Deposit
A $75 security deposit is authorized (not captured) via Stripe at booking confirmation for all services involving access to the member's home (boarding, home care). The deposit is released automatically within 48 hours of service end if no damage claim is submitted. If a damage claim with photographic evidence is submitted within 24 hours of service end, PawXchange reviews and may retain or release the deposit accordingly. Check-in and check-out photos are required for every service and analyzed by Anthropic's Claude API to verify pet visibility and flag anomalies.
Article 7 β Privacy & Personal Data
PawXchange collects and processes personal data in accordance with applicable US federal and state privacy laws. Full details are set out in the Privacy Policy at pawxchange.com/privacy. Data collected includes identity verification data, address, references, pet information, service history, GPS tracking (dog walks only, 30-day retention), check-in/check-out photos (90-day retention), and payment metadata. Photos are processed by Anthropic's Claude API (Haiku 4.5) ephemerally β data is not retained by Anthropic beyond each request.
Article 8 β [Reserved]
Section 12 β Assumption of Risk; Limitation of Liability; Release
12.1 ASSUMPTION OF RISK. YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS ARISING FROM YOUR USE OF THE APP AND SERVICES, INCLUDING WITHOUT LIMITATION: (A) INJURY, ILLNESS, LOSS, ESCAPE, OR DEATH OF ANY PET; (B) DAMAGE TO OR LOSS OF PROPERTY; (C) PERSONAL INJURY OR DEATH; (D) EMOTIONAL DISTRESS; AND (E) ACTS OR OMISSIONS OF OTHER MEMBERS.
12.2 RELEASE OF PAWXCHANGE FOR ITS OWN NEGLIGENCE. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, AND DISCHARGE PAWXCHANGE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE APP OR SERVICES, EVEN IF CAUSED IN WHOLE OR IN PART BY THE SOLE, JOINT, CONCURRENT, OR COMPARATIVE NEGLIGENCE OF PAWXCHANGE. THIS RELEASE IS INTENDED TO SATISFY THE TEXAS EXPRESS NEGLIGENCE DOCTRINE.
12.3 LIMITATION OF LIABILITY. PAWXCHANGE'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE MEMBERSHIP FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). IN NO EVENT SHALL PAWXCHANGE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
12.4 WHAT IS NOT RELEASED. Nothing in this Section releases liability for: (a) gross negligence, willful misconduct, fraud, or intentional torts; (b) claims under the Texas DTPA; or (c) any liability that cannot lawfully be limited under applicable law.
12.5 INDEMNIFICATION. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS PAWXCHANGE FROM ALL THIRD-PARTY CLAIMS ARISING OUT OF YOUR USE OR MISUSE OF THE APP, YOUR BREACH OF THESE TERMS, OR ANY INJURY, ILLNESS, OR DEATH ARISING FROM A CARE ARRANGEMENT FACILITATED THROUGH THE PLATFORM.
Article 9 β Termination
A member may terminate their account at any time via the app settings. PawXchange may suspend or terminate an account immediately for: violation of these Terms, fraudulent activity, abusive conduct toward other members, or threats to the safety of animals or members.
Article 10 β Disputes & Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved through binding arbitration administered by the AAA under its Consumer Arbitration Rules, in Austin, Texas. Members waive the right to participate in class actions or class arbitrations.
10.1 β Right to Opt Out of Arbitration
You may opt out of the binding-arbitration and class-action-waiver provisions by delivering written notice to tiffany@pawxchange.com from the email address associated with your account within thirty (30) days after you first accept these Terms. Your opt-out notice must include your full name, account email, and a clear statement that you wish to opt out of arbitration. Opting out has no other effect on your membership.
Article 11 β Final Provisions

Article 1 β Platform Nature & Scope
PawXchange is a community platform connecting pet owners for the exchange of pet care services. PawXchange LLC is a Delaware limited liability company offering services to residents of the European Union and European Economic Area.
PawXchange acts exclusively as a technical intermediary within the meaning of Article 14 of the e-Commerce Directive (2000/31/EC) and Article 4 of the Digital Services Act (DSA, EU 2022/2065). It is not a party to service agreements between members.
Available in all EU Member States plus Iceland, Liechtenstein, and Norway (EEA).
Article 2 β Acceptance of Terms
Registration constitutes full and unconditional acceptance of these Terms. These Terms are available in English, French, Spanish, German, Italian, Portuguese, Dutch, Polish, Romanian, Swedish, and Danish. In the event of inconsistency, the version in your country's official language prevails, in accordance with applicable consumer protection law.
PawXchange reserves the right to update these Terms with a minimum of 30 days' notice. Material changes will be communicated by email.
Article 3 β Membership
Two membership tiers: Founding Member (free, first 50 members) and Standard Member (EUR 119/year or equivalent, auto-renewing annually). Members must complete Stripe Identity verification, provide proof of residence, and confirm 3 personal references before gaining full platform access.
Members have a right of withdrawal of 14 days from the conclusion of the paid membership contract, exercisable by an unequivocal statement sent to tiffany@pawxchange.com. By checking the box "I request that my PawXchange membership begin immediately and I acknowledge that I will lose my right of withdrawal once the service has been fully performed," the member gives express prior consent to the immediate performance of the service and acknowledges, in accordance with Article 16(m) of the Consumer Rights Directive, that the right of withdrawal is lost once the service has been fully performed.
Article 4 β The Treats System
4.1 β Nature of Treats

Check-in and check-out photos are required for every service and analyzed by Anthropic's Claude API to verify pet visibility.
Article 7 β Privacy & Personal Data (GDPR)
PawXchange collects and processes personal data in accordance with the GDPR (2016/679) and applicable national data protection laws. Full details are set out in the Privacy Policy at pawxchange.com/privacy.
PawXchange LLC acts as data controller within the meaning of Article 4(7) GDPR. Data collected includes: identity verification (government ID + live selfie β special category data under Article 9 GDPR, processed on the basis of explicit consent), address, references, pet information, service history, GPS data (walks, 30-day retention), and check-in/check-out photos (90-day retention).
EU Members have the following rights under GDPR Articles 15β22: access, rectification, erasure, restriction of processing, data portability, objection, rights regarding automated decision-making, and the right to lodge a complaint with the competent supervisory authority.
Personal data may be transferred to the United States to sub-processors listed in the Privacy Policy, primarily under the EUβU.S. Data Privacy Framework, with EU Standard Contractual Clauses as a backup mechanism.

Article 8 β Liability & Indemnification
PawXchange operates exclusively as a technical intermediary. PawXchange accepts no liability for injury, illness, or death of any animal; property damage beyond the security deposit; acts or omissions of members; or disputes between members.
Nothing in these Terms excludes or limits PawXchange's liability for: (a) death or personal injury caused by PawXchange's negligence, (b) fraud or fraudulent misrepresentation, (c) any liability that cannot be excluded or limited under the laws of your country of residence.
Article 9 β Termination
A member may terminate their account at any time via the app settings. PawXchange may suspend or terminate an account for violation of these Terms, fraudulent activity, abusive conduct, or threats to animal or member safety. Termination of a paid membership entitles the member to a pro-rata refund of unused membership fees.
Article 10 β Disputes, Mediation & Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without prejudice to mandatory consumer protection rules applicable in your country of residence. In accordance with Article 17(1) of the Brussels I Regulation (Recast), EU consumers retain the right to bring proceedings before the courts of their country of residence.
Before bringing legal proceedings, EU members are encouraged to first contact tiffany@pawxchange.com to seek an amicable resolution. Consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Article 11 β Final Provisions

PawXchange acts exclusively as a technical intermediary. It is not a pet care company, does not provide pet care services, and is not a party to any service agreement concluded between members.
Available in all provinces and territories of Canada. Members in QuΓ©bec benefit from additional protections under the Consumer Protection Act (L.R.Q., c. P-40.1) and QuΓ©bec Law 25.
Article 2 β Acceptance of Terms
Registration constitutes full and unconditional acceptance of these Terms. For QuΓ©bec members, PawXchange makes available a full French-language version of these Terms and a French-language in-app interface in accordance with the Charter of the French Language. The French version prevails in the event of any inconsistency with respect to QuΓ©bec members.
PawXchange reserves the right to update these Terms with a minimum of 30 days' notice.
Article 3 β Membership

QuΓ©bec Members β Contracts of Sequential Performance
(a) Pre-contractual disclosure: term, total price (including taxes), renewal mechanism, and cancellation procedure disclosed in plain language before the member is bound. (b) Renewal notice: written notice 30β60 days before renewal date. If PawXchange fails to send this notice, the member may cancel the renewed term at any time, at no cost, with a pro-rata refund. (c) Right to cancel without penalty: QuΓ©bec members may cancel at any time on written notice and receive a pro-rata refund for services not yet rendered.

4.4 β Platform Discretion & Regulatory Covenant
PawXchange may modify the Treats system, adjust balances, or discontinue it with 30 days' notice. PawXchange covenants that before implementing any change to the Treats system that would permit direct or indirect cash-out, user-to-user transfer, incremental purchase, or secondary-market trading of Treats, it will re-analyze the Treats system's regulatory status under applicable Canadian law and update these Terms as required.
Article 5 β Services

Members agree to comply with all federal, provincial, territorial, and municipal animal-welfare laws applicable to them.
Article 6 β Trust, Safety & Security Deposit
Every sitter profile displays a Verified Badge upon completion of Stripe Identity + address verification + 3 confirmed references. A $75 USD (or CAD equivalent) security deposit is authorized via Stripe at booking confirmation for services involving access to the member's home. The deposit is released automatically within 48 hours of service end if no damage claim is submitted.
Article 7 β Privacy & Personal Data (PIPEDA / Law 25)
PawXchange collects and processes personal information in accordance with PIPEDA and, for QuΓ©bec residents, QuΓ©bec Law 25. Full details are set out in the Privacy Policy at pawxchange.com/privacy.
The Privacy Officer responsible for PIPEDA and Law 25 compliance may be contacted at privacy@pawxchange.com (subject line: "Privacy Officer"). For QuΓ©bec residents, this officer also serves as the Responsable de la protection des renseignements personnels.
Canadian members have the right to access, correct, and request deletion of their personal information, and to be notified of security breaches creating a real risk of significant harm. Complaints may be addressed to the Office of the Privacy Commissioner of Canada or, for Québec residents, the Commission d'accès à l'information du Québec.
Marketing Communications (CASL)
PawXchange will send commercial electronic messages to Canadian members only with express or implied consent. Every commercial message will include a functional unsubscribe mechanism honoured within ten (10) business days. Transactional messages (booking confirmations, security alerts, payment receipts) will be sent regardless of marketing preferences.
Article 8 β Liability & Indemnification
PawXchange operates exclusively as a technical intermediary and accepts no liability for injury, illness, or death of any animal; property damage beyond the security deposit; acts or omissions of members; or disputes between members.
Members agree to indemnify PawXchange against all claims arising from their use of the platform, breach of these Terms, or violation of law.
Article 9 β Termination
A member may terminate their account at any time. PawXchange may suspend or terminate an account for violation of these Terms, fraudulent activity, abusive conduct, or threats to animal or member safety.
Article 10 β Disputes & Governing Law
These Terms are governed by the laws of the State of Delaware, USA. For members outside QuΓ©bec, disputes shall be resolved through binding arbitration. For QuΓ©bec residents, arbitration clauses against consumers are restricted under Article 11.1 of the Consumer Protection Act; QuΓ©bec residents retain the right to bring disputes before the QuΓ©bec courts. Nothing in these Terms limits any non-waivable right under the consumer-protection laws of your province or territory of residence.
Article 11 β Final Provisions
